Terms of Service

1. Acceptance of Terms

By accessing or using AgentKavach ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AgentKavach provides budget enforcement, cost tracking, and alerting tools for applications that consume Large Language Model (LLM) APIs. The Service monitors token usage and computed costs, enforces configurable budget limits, and dispatches alerts through user-configured channels.

3. Account Responsibilities

  • You are responsible for maintaining the security of your account credentials, including API keys.
  • You must not share API keys or account access with unauthorized individuals.
  • You are responsible for all activity that occurs under your account.
  • You must promptly notify us of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law or regulation.
  • Attempt to circumvent budget limits, rate limiting, or other security measures.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to process, store, or transmit content that infringes upon third-party intellectual property rights.
  • Resell or redistribute the Service without prior written consent.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTKAVACH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any loss of profits, revenue, data, or business opportunities arising from the use or inability to use the Service.
  • Any degradation, interruption, or loss of performance of your LLM agents, AI applications, or any third-party services, whether or not such degradation is related to the operation of AgentKavach.
  • Any costs incurred from LLM API usage, including but not limited to charges from OpenAI, Anthropic, Google, or any other LLM provider, regardless of whether budget enforcement was active.
  • Any indirect, incidental, special, consequential, or punitive damages, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
  • Any failure of kill callbacks, alert notifications, or budget enforcement mechanisms due to network conditions, system failures, or force majeure events.

IN NO EVENT SHALL AGENTKAVACH'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO AGENTKAVACH DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AgentKavach does not warrant that budget enforcement will prevent all overspend in all circumstances. Budget checks are performed locally with best-effort telemetry synchronization. You acknowledge that LLM API pricing may change without notice from providers, and AgentKavach's cost calculations are based on published pricing at the time of the API call.

7. Indemnification

You agree to indemnify, defend, and hold harmless AgentKavach and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

8. Service Level and Availability

AgentKavach targets 99.9% uptime for the managed API. Budget enforcement operates locally within your application and is not dependent on our API availability. In the event of service disruption, the SDK continues to enforce budgets using local in-memory state and buffers telemetry events for later replay.

9. Subscription and Billing

  • Paid subscriptions are billed monthly in advance. Prices are in USD.
  • You may upgrade or downgrade your plan at any time. Downgrades take effect at the end of the current billing cycle.
  • AgentKavach reserves the right to change pricing with 30 days' prior notice.
  • Free tier usage is subject to the event and agent limits published on our pricing page. Exceeding these limits may result in telemetry throttling.

10. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the billing portal. AgentKavach reserves the right to suspend or terminate accounts that violate these Terms. Upon termination, your right to use the Service ceases immediately, and your data will be deleted in accordance with our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the dashboard at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
